Terms of Service

1. Agreement

These Terms of Service govern your use of accordxjp.com and the AccordX accounts-receivable collections platform (together, "the Service") operated by AccordX K.K. ("the Company," "we," "us," or "our") (1-6-1 Otemachi, Chiyoda-ku, Tokyo 100-0004, Japan). By accessing or using the Service you accept these Terms. Nothing in these Terms limits your statutory rights under the laws of your country of residence.

2. Description of the Service

AccordX is a B2B SaaS platform that assists finance and collections teams with accounts-receivable management. The Service uses AI to recommend optimal timing, communication channel, and message content for invoice follow-ups. The Service is intended for use by businesses -- individual consumers are not the target users. Accounts are provisioned by the Company during onboarding; there is no public self-registration.

3. Use of the Service

• You represent that you have authority to bind the organisation on whose behalf you use the Service.
• You agree not to use the Service unlawfully, to interfere with its operation, or to attempt unauthorised access to any system or data.
• You may not scrape, reverse-engineer, or copy the Service except as permitted by mandatory law.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

4. Intellectual Property

The Service, including the AccordX AI models, software, and documentation, is owned by the Company or its licensors and is protected by international intellectual-property law. We grant you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes during the term of your subscription.

5. Customer Data

You retain ownership of the AR data, invoice records, and debtor contact information you submit to the Service ("Customer Data"). You grant the Company a limited licence to use, store, and process Customer Data solely to provide the Service. The Company processes Customer Data as a processor acting on your instructions. We do not use Customer Data to train AI models for other customers without your explicit written consent. 6. Disclaimers

The Service is provided on an "as is" and "as available" basis. The Company disclaim all warranties to the maximum extent permitted by applicable law. AccordX's AI recommendations are advisory -- final collections decisions remain the responsibility of your finance team. Mandatory consumer warranties applicable in your country of residence are not affected.

7. Limitation of Liability

To the maximum extent permitted by applicable law, the Company's total liability for any claim arising from or related to the Service will not exceed the total fees paid by you in the three months preceding the claim, except for liability that cannot be limited under mandatory law.

8. Indemnification

You agree to indemnify and hold harmless the Company from any claims arising from your use of the Service in breach of these Terms, your violation of any third-party right, or the unlawful or improper use of the Service by persons acting under your account.

9. Termination

Either party may terminate the subscription at the end of a billing period on notice. The Company may suspend or terminate access immediately for material breach. Upon termination, the Company will make Customer Data available for export for 30 days, after which it will be deleted. Sections 4, 5, 7, 8, and 10 survive termination.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan. Disputes arising from or relating to these Terms are subject to the non-exclusive jurisdiction of the competent courts in Tokyo, Japan, without prejudice to mandatory consumer-protection rights of your country of residence.

11. Changes and Contact

We may update these Terms from time to time. Material changes are posted with a new "Last updated" date and notified to active customers by email. Continued use after the effective date of a change constitutes acceptance.
